The Corporate Regulatory Authority (CRA) successfully conducted the IPO Boot Camp on 8 and 9 June 2026 at Metta Resort, Paro, bringing Bhutan one step closer to a more active and dynamic capital market by directly preparing companies for public listing.
The two-day intensive programme was attended by 18 representatives, including company CFOs, directors, and finance officers from across Bhutan, all at various stages of preparing their companies for an Initial Public Offering (IPO). The Boot Camp provided participants with an end-to-end understanding of Bhutan’s capital markets ecosystem, IPO regulatory requirements under the CRA Regulations for Initial Public Issue of Shares, 2022 (as amended in 2024) and the Companies Act of Bhutan 2016, and the practical steps involved in taking a company to public listing.

The first day focused on the regulatory and governance landscape, covering Bhutan’s capital market framework, IPO regulations including follow-on offers and rights issues, listing guidelines, capital market rules and regulations, corporate governance, Corporate Social Responsibility, and compliance requirements for listed companies.
The second day was deliberately hands-on. Participants worked through IPO financial considerations, eligibility assessments using real case studies, IPO readiness evaluations, prospectus preparation, compliance and legal requirements, and gap analysis and remediation planning leaving with a clear picture of where their companies stand and what steps remain before a listing can be pursued.
“Bhutan’s capital market has enormous potential, and the IPO Boot Camp is about making that potential tangible for companies that are ready to take the next step. We want to demystify the IPO process and give promoters, directors, and finance officers the tools and confidence to pursue public listing” -CRA Motto
The CRA remains committed to developing a well-prepared pipeline of IPO-ready companies and deepening Bhutan’s capital markets through targeted capacity building, proactive regulatory guidance, and the promotion of sound corporate governance across the Kingdom
